Vigilcode Terms of Use

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE IMPORTANT LIMITS ON WHAT VIGIL DOES, A LIMITATION OF OUR LIABILITY TO YOU, AND A REQUIREMENT THAT MOST DISPUTES BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT, WITH A WAIVER OF CLASS ACTIONS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS. SEE SECTION 23.


1. Who we are and what these Terms cover

These Terms of Use (“Terms”) are a binding agreement between you and Vigilcode Inc., a Delaware corporation with its principal place of business in Miami, Florida (“Vigilcode,” “we,” “us,” “our”).

These Terms govern your use of:

We call all of the above the “Services.” We call the Vigil application and everything in it “Vigil.”

If you access the Services through the Apple App Store or Google Play, additional terms in Section 27 apply.

2. Your agreement to these Terms

You agree to these Terms by checking the box presented at sign in, by creating an account, or by using the Services. If you do not agree, do not use the Services.

We keep a record of the version of these Terms you accepted and the date you accepted it. When we make a material change, we will present the new version to you and ask you to accept it again before you continue using the Services. Section 25 explains how changes work.

3. Eligibility and age

You must be at least 18 years old to create a Vigil account and agree to these Terms on your own behalf.

A person aged 13 to 17 may use Vigil only if their parent or legal guardian accepts these Terms on their behalf and supervises their use. If you allow a person under 18 to use Vigil, you represent that you are their parent or legal guardian, you agree to these Terms on their behalf, and you are responsible for their use of the Services.

Vigil is not intended for and may not be used by anyone under 13. We do not knowingly collect personal information from children under 13. If we learn that we have, we will delete the account and the associated data. If you believe a child under 13 has provided us information, contact privacy@vigilcode.com.

4. Your account

Vigil has no passwords. You sign in by entering your email address, and we send a single use sign in link to that address. Opening the link signs you in. Your email address is your account identifier and your way in, every time.

That design has a consequence worth stating plainly, especially in an app about phishing: whoever can read your email can sign in to your Vigil account. So the security of your Vigil account is the security of your email account. We strongly recommend you protect that email account with a strong, unique password and two factor authentication.

You agree that you will:

Sign in links expire and can only be used once. You are responsible for what happens under your account.

You can delete your account from within the Vigil app at any time. Deleting your account removes your account data as described in our Privacy Policy. Deleting your account does not by itself cancel a subscription billed by the Apple App Store or Google Play. See Section 11.3.

5. What Vigil is, and what it is not

This section is important. Please read all of it.

Vigil is an analysis and advisory tool. You give it a message, an email, or a link, and it gives you an assessment and suggestions. That is the whole of what it does.

You acknowledge, understand, and agree that:

(a) Vigil is not antivirus or endpoint security software. It does not scan your device, monitor your device for malware, block anything from reaching you, remove anything from your device, or run continuously in the background. It analyzes content you or a connected account bring to it, when you ask it to.

(b) Vigil does not and cannot detect every scam, phish, or fraudulent message. Detection is probabilistic, not certain. Attackers change their techniques constantly and deliberately design messages to evade detection tools. A technique we have not seen before may score as safe. New attacks appear faster than any tool can catalogue them.

(c) A high Vigil Score is not a statement that a message is genuine. It means our analysis did not find signals we recognize as suspicious. It is the absence of a finding, not a finding of safety, and it is never a guarantee, warranty, endorsement, or certification of any message, sender, link, website, or organization.

(d) A low Vigil Score is not proof of anything. It means our analysis found signals worth your attention. Legitimate messages can score low. This is called a false positive and it will happen.

(e) Vigil sees only what you give it. It does not know your history with a sender, whether you were expecting a message, or what is true about your accounts, unless you tell it through Scout.

(f) You make the final decision. Vigil supports your judgment. It does not replace it. You remain solely responsible for whether you click a link, reply to a message, send money, share information, or take any other action.

(g) Vigil is not a substitute for other security measures. You should continue to use strong and unique passwords, two factor authentication, up to date software, and the security tools provided by your device, your email provider, and your bank. This matters for your email account above all, for the reason given in Section 4. If you do not, that may affect our responsibility for any resulting loss.

(h) Vigil does not provide legal, financial, tax, medical, or professional advice, and nothing it produces should be treated as such.

6. The Services in detail

6.1 Sentinel

Sentinel is the machine learning engine that produces your Vigil Score. It runs entirely on your device. The content you scan is analyzed locally and is not sent to us. Sentinel does not detect all threats and does not guarantee that any message is safe or unsafe.

6.2 Scout

Scout asks you questions about a message to help distinguish a real threat from a false positive, and adjusts the assessment based on your answers. Scout runs on our servers and uses a third party large language model.

Scout does not receive the text of your message. It receives Sentinel’s analysis signals together with a limited set of items extracted from the message, which may include any link, phone number, email address, or code the message points to, and the names of any organizations the message mentions as they appear in the message. Our Privacy Policy describes this in detail.

Scout’s questions are generated automatically and may be irrelevant or based on a wrong assumption about the message. The adjustment Scout makes to your score depends entirely on the accuracy of your answers. Scout does not guarantee that a refined assessment is correct.

6.3 Sage

Sage produces recommendations and educational guidance based on the analysis. Sage runs on our servers and uses a third party large language model. Sage receives the same limited information described in Section 6.2 and does not receive the text of your message.

Sage’s output is generated by artificial intelligence and may be inaccurate, incomplete, or wrong. It may name the wrong organization, describe the wrong kind of scam, or recommend a step that does not apply to your situation. Sage’s recommendations are general guidance, not advice about your particular circumstances, and are not legal, financial, tax, or professional advice. Verify before you act on them. Section 13 covers AI features generally.

6.4 ScopedURL

ScopedURL renders a preview image of a web page and reports on scripts and links it finds there, so you can look at a destination without visiting it. ScopedURL does not verify that a page is safe, does not detect all malicious pages, and does not protect you if you choose to visit the page. A page can behave differently for you than it did for our renderer, including deliberately.

6.5 Connected email accounts

If you connect an email account, you authorize us to access that mailbox on your behalf, through the provider’s authorized interface, using the permissions you grant on the provider’s consent screen, and only for the purpose of analyzing messages for scam and phishing indicators.

You represent that you have the right to grant that access for the account you connect. You may disconnect an account at any time from within the app, and you may also revoke access through your email provider. Access permissions expire periodically and we will ask you to grant them again.

We use data from connected accounts only to provide the Services to you, as described in our Privacy Policy, and in accordance with the Google API Services User Data Policy, including its Limited Use requirements. We do not use it to serve advertising, we do not sell it, and we do not use it to train or improve any general purpose machine learning or artificial intelligence model.

6.6 One account, one person

A Vigil account and any subscription attached to it are for one person. You may not share your account, and you may not connect an email account belonging to anyone else. If someone else in your household wants Vigil, they create their own account, accept these Terms themselves, and connect their own mailbox.

6.7 Changes to the Services

We are a small company and the Services will change. We may add, modify, or remove features, adjust how the analysis works, change scoring, or discontinue a feature. If we discontinue a paid feature that was material to your subscription, Section 11.5 applies.

9. License

Subject to these Terms, we grant you a personal, limited, revocable, nonexclusive, nontransferable license to install and use the Vigil application on devices you own or control, and to use the other Services, for your own personal, noncommercial purposes.

We and our licensors own the Services, including all software, models, model weights, training data, prompts, scoring systems, designs, text, graphics, and the Vigilcode, Vigil, Sentinel, Scout, Sage, and ScopedURL names and logos. Nothing in these Terms transfers any of that to you.

Some parts of the Services include third party open source components, which are licensed under their own terms.

10. Your content and your feedback

Your content. You keep all rights to the messages, emails, links, and other content you submit. You grant us only the limited license necessary to process that content in order to provide the Services to you, as described in our Privacy Policy. We do not use your messages or emails to train our models.

Your feedback. If you send us feedback, suggestions, bug reports, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty free license to use them without restriction or compensation. Please do not include confidential information in feedback.

Reporting a message as wrong. If you tell us a Vigil Score was wrong, we may use your report to evaluate and improve the Services, in accordance with our Privacy Policy.

11. Subscriptions, billing, and cancellation

11.1 Tiers

Vigil offers a free tier (Sentinel) and two paid subscription tiers (Vanguard and Citadel), each available as a monthly or an annual plan. The features, usage limits, and price of each tier and plan are shown in the app and on the store listing before you purchase. Free tier features are subject to usage limits that we may change.

A Vigil subscription covers one account, used by one person. See Section 6.6.

11.2 How you are billed

Paid subscriptions are purchased and billed through the Apple App Store or Google Play. We do not bill you and we do not handle your payment information.

Payment is charged to your Apple Account or Google Account at confirmation of purchase. Your subscription renews automatically unless it is cancelled at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the end of the current period. Renewal is automatic and no further notice from us is required.

11.3 Cancelling

You can cancel at any time, and you cancel through the store you bought from, in your App Store or Google Play account settings. The Vigil app links you to that screen from Settings.

We cannot cancel your subscription for you. Deleting the Vigil app, or deleting your Vigil account, does not cancel your subscription. Only the store can.

Cancelling stops the next renewal. You keep access to paid features until the end of the period you have already paid for.

11.4 Price changes

If we change the price of a subscription, the new price applies only from a renewal after the change, never to a period you have already paid for. The store handles how a price change is communicated and whether it needs your agreement before it takes effect.

11.5 Refunds

We cannot issue refunds for a subscription purchased through the Apple App Store or Google Play. Only the store can. If you want a refund, request it through the store that charged you, under that store’s policy.

If we permanently discontinue a paid feature that was a material part of your subscription and do not replace it with something comparable, write to support@vigilcode.com and we will help you make that request.

11.6 Taxes

Prices shown may exclude tax. Any applicable tax is collected by the store.

12. Privacy

Our Privacy Policy describes what we collect, what stays on your device, what is sent to our servers, who processes it, and how long we keep it. It is part of these Terms and it is worth reading, because Vigil’s architecture is unusual: the content you scan is analyzed on your device and the message body is not sent to us.

13. Artificial intelligence features

Scout and Sage use large language models, including models operated by third parties on our behalf. This section applies to them and to any other AI feature we add.

13.1 AI output can be wrong. Language models produce plausible sounding output that is sometimes incorrect, incomplete, or entirely fabricated. This is a known and unsolved property of the technology, not a defect in our implementation. Review what Scout and Sage tell you and use your own judgment before acting on it.

13.2 Do not rely on AI features for these decisions. You agree not to rely on any AI feature of the Services as the basis for any medical, legal, financial, tax, insurance, physical safety, or child welfare decision.

13.3 Third party model providers. AI features send the limited information described in Sections 6.2 and 6.3 to a third party model provider that processes it on our behalf under contract terms that prohibit the provider from retaining it or using it to train its own models. Our Privacy Policy names the current provider.

13.4 Acceptable use of AI features. You may not use Scout, Sage, or any other AI feature to generate unlawful, harassing, defamatory, or deceptive content; to impersonate any person; to attempt to make the model ignore its instructions or produce output it would otherwise decline to produce; or for any commercial purpose.

14. Scores, flags, and third parties

Vigil Scores, risk bands, and any flag, label, or warning the Services display are automated, probabilistic outputs of a statistical model. They are:

A message that names or appears to come from an organization may score low for reasons that have nothing to do with that organization, including that someone is impersonating it.

We do not flag anything for commercial reasons. We do not score messages differently based on who they are from, whether the sender is a customer or an advertiser, or whether anyone involved competes with us.

If you believe the Services have wrongly flagged content associated with you or your organization, you can ask us to reconsider. Write to appeals@vigilcode.com with what was flagged, where you encountered it, and why you believe the assessment is wrong. There is no charge, and you do not need to be a Vigil user.

We review every reconsideration request. If you have not heard from us within 10 business days, reply to your original message and we will prioritize it.

We commit to a process, not to an outcome. We may conclude the assessment was correct. Where we conclude a flag was wrong, we will correct it in the next update of our models or data and tell you when we have.

15. Third party services

The Services depend on third parties, including Apple, Google, Amazon Web Services, and your email provider. We are not responsible for their acts, omissions, availability, terms, or privacy practices. Your use of a third party service is governed by that party’s own terms.

16. Disclaimers

PLEASE READ THIS SECTION AND SECTION 17 CAREFULLY. THEY LIMIT OUR LIABILITY TO YOU.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIGILCODE AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, AND NONINFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, YOU ACKNOWLEDGE, UNDERSTAND, AND AGREE THAT VIGILCODE DOES NOT GUARANTEE OR WARRANT THAT THE SERVICES WILL IDENTIFY, DETECT, FLAG, OR WARN YOU ABOUT ANY PARTICULAR SCAM, PHISHING ATTEMPT, FRAUDULENT MESSAGE, MALICIOUS LINK, IMPERSONATION, OR OTHER THREAT, OR ANY OR ALL OF THEM.

WE ALSO DO NOT WARRANT THAT:

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, AND WHETHER OBTAINED FROM US, FROM OUR WEBSITE, FROM ANY ADVERTISEMENT OR MARKETING MATERIAL, FROM A DEMONSTRATION, FROM ANY REVIEW OR PRESS COVERAGE, OR FROM OUR SUPPORT CHANNELS, CREATES ANY WARRANTY OR REPRESENTATION NOT EXPRESSLY STATED IN THESE TERMS.

YOU ASSUME ALL RESPONSIBILITY AND RISK FOR YOUR SELECTION AND USE OF THE SERVICES AND FOR THE RESULTS YOU OBTAIN FROM THEM.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you. Nothing in these Terms limits any right you have under a consumer protection law that cannot be waived.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE:

(a) Excluded damages. VIGILCODE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY:

(b) Cap. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID US, OR PAID THROUGH THE APPLE APP STORE OR GOOGLE PLAY FOR A VIGILCODE SUBSCRIPTION, IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).

(c) Scope. THE LIMITS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER THE CLAIM IS BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE AND GROSS NEGLIGENCE), STRICT LIABILITY, PRODUCT LIABILITY, STATUTE, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(d) Basis of the bargain. YOU AGREE THAT THE DISCLAIMERS IN SECTION 16 AND THE LIMITS IN THIS SECTION ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US, THAT THEY REFLECT A REASONABLE ALLOCATION OF RISK, AND THAT THE PRICE OF THE SERVICES REFLECTS THEM AND WOULD BE HIGHER WITHOUT THEM. WE WOULD NOT PROVIDE THE SERVICES TO YOU ON THESE TERMS WITHOUT THEM.

(e) What we do not limit. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for willful misconduct, or for any other liability that cannot lawfully be excluded or limited.

Some jurisdictions do not allow the limitation or exclusion of incidental or consequential damages, so some of the above may not apply to you.

18. Indemnification

You agree to indemnify and hold harmless Vigilcode and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable attorney’s fees, arising out of:

This section does not apply to a claim arising from our own conduct.

19. Term and termination

These Terms apply from the moment you first use the Services until terminated.

You may terminate at any time by deleting your account. Remember to also cancel any subscription through the store, per Section 11.3.

We may terminate or suspend your access, with or without notice, if you violate these Terms, if we reasonably believe your use creates legal risk or harm to us or to others, if you have not used your account for an extended period, or if we discontinue the Services. Where practical and lawful we will give you advance notice.

Sections 5, 9, 10, 14, 16, 17, 18, 20, 21, 23, 24, and 26 survive termination.

20. Notices and communications

We will send notices to the email address on your account or through the app. You agree to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. Keep your email address current.

21. Governing law

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Florida, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to Section 23, the exclusive venue for any dispute that is not subject to arbitration is the state or federal courts located in Miami-Dade County, Florida, and you and we each consent to the personal jurisdiction of those courts.

Nothing in this section deprives you of the protection of any mandatory consumer protection law of the place where you live.

22. Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, labor action, government action, internet or network failure, power failure, or the failure or unavailability of a third party service the Services depend on.

23. Dispute resolution, arbitration, and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS, AS DESCRIBED IN SECTION 23.3.

23.1 Talk to us first

Before starting an arbitration or a lawsuit, you agree to first send us a written Notice of Dispute at legal@vigilcode.com, describing the nature and basis of your claim and the specific relief you want. We will do the same for any claim we have against you. We each agree to try in good faith to resolve the dispute informally for 60 days after the Notice is received. Neither of us may start a proceeding during that period, and any limitations period is tolled while it runs.

23.2 Agreement to arbitrate

If we cannot resolve the dispute informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration, and not in a court of general jurisdiction, except as stated in Sections 23.3, 23.4, and 23.7.

The Federal Arbitration Act governs the interpretation and enforcement of this section. Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, including its Supplementary Rules for Multiple Case Filings where applicable. The arbitrator can award the same individual relief a court could. Arbitration is less formal than a lawsuit, uses a neutral arbitrator instead of a judge or jury, allows more limited discovery, and is subject to very limited review by courts.

Unless we agree otherwise, arbitration will take place in the county where you live, or by telephone or video conference, or on documents alone, at your election.

23.3 Your right to opt out

You can opt out of this arbitration agreement. Send an email to legal@vigilcode.com within 30 days of the date you first accept these Terms, with the subject line “Arbitration Opt Out,” stating your name, the email address on your account, and that you are opting out of arbitration.

If you opt out, this Section 23 does not apply to you, and disputes are resolved in the courts identified in Section 21. Opting out has no effect on your account, your subscription, or anything else in these Terms. If you accepted a previous version of these Terms and are accepting this version, your 30 days runs from your acceptance of this version.

23.4 Small claims

Either of us may bring an individual claim in small claims court instead of arbitration, if the claim qualifies and stays in that court on an individual basis. You may file in the small claims court where you live or in Miami-Dade County, Florida.

23.5 Class action waiver

YOU AND VIGILCODE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.

If this Section 23.5 is found to be unenforceable, then the entirety of Section 23 is void, and any dispute will be resolved in the courts identified in Section 21.

23.6 If you prevail

If the arbitrator awards you more than the last written settlement offer we made before the arbitrator was appointed, we will pay you the greater of $500 or 10% of the amount awarded, in addition to the award. We will pay all AAA filing, administration, and arbitrator fees for any claim seeking $25,000 or less, unless the arbitrator finds the claim frivolous or brought for an improper purpose.

23.7 Exceptions

This Section 23 does not apply to: a claim for public injunctive relief, which either of us may bring in a court of competent jurisdiction, with any related individual claims stayed pending the outcome of arbitration; or a claim to protect intellectual property rights, for which either of us may seek injunctive relief in court.

23.8 Changes to this section

If we change this Section 23 after you accept these Terms, you may reject the change by writing to legal@vigilcode.com within 30 days of the change taking effect, in which case the version you accepted continues to govern disputes between us.

24. Severability and waiver

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the rest of these Terms remain in effect. Section 23.5 is an exception, and is governed by its own terms.

Our failure to enforce any provision is not a waiver of it.

25. Changes to these Terms

We may update these Terms, including to reflect changes to the Services, to Apple’s or Google’s policies and requirements, or to applicable law. When we do, we will post the updated version at vigilcode.com/terms-of-use, make it available in the app, and change the version number and the effective date at the top.

For a change that materially affects your rights or obligations, we will give you notice in the app before it takes effect, and we may require you to accept the updated Terms before you continue using the Services.

If you do not accept an updated version of these Terms, your remedy is to stop using the Services and delete your account. If you have a paid subscription, cancel it through the store you bought it from, as described in Section 11.3.

Otherwise, continuing to use the Services after the effective date of an update means you accept the updated Terms.

Any dispute between us is governed by the version of these Terms that was in effect when the dispute arose. Section 23.8 separately governs changes to the arbitration section.

26. General

Entire agreement. These Terms, together with the Privacy Policy and any additional terms we present for a specific feature, are the entire agreement between you and us about the Services, and they replace all prior agreements and understandings, including any prior version of these Terms and any statement made in any advertisement, marketing material, website copy, demonstration, review, or support communication.

Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.

No third party beneficiaries. Except as stated in Section 27, these Terms create no rights in anyone other than you and us.

These Terms are between you and Vigilcode only, not Apple, and Apple is not responsible for Vigil or its content.

27.2 Google

If you obtained Vigil through Google Play, your use is also subject to the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for Vigil.
